Business Judgment Rule

Single most powerful defense available to a director or officer and recognizes that not all decisions of the directors or officers will benefit the organization or its stakeholders. In order to be available, the following five elements must be satisfied: business decision, disinterestedness, due care, good faith, and no abuse of discretion.
